rare opportunity to shape a major new national investment platform from the ground up.Job descriptionThe Senior Manager, Transaction Execution - Lending Alliances is responsible for executing and operationalising complex lending alliance transactions between the National Housing Bank and external lending partners. Working closely with Transaction Managers, Portfolio Managers and professional advisers, the role leads the documentation, legal and due diligence aspects of transactions, ensuring delivery in line with agreed approvals, policies and risk standards. The post holder will build strong relationships with internal stakeholders across Debt Finance, Legal, Credit Risk and Portfolio Management, as well as external advisers, borrowers, investors and lending partners, to support the timely and effective execution of Lending Alliance transactions.
The role requires building and maintaining effective working relationships with key internal stakeholders, including the wider Debt Finance team, Internal Legal, Credit Risk and Portfolio Management, as well as other colleagues across Homes England. The post holder will also liaise closely with external professional advisers (including external legal counsel, debt advisory firms and at times valuation and monitoring surveyor firms), borrowers, investors and their advisers, to ensure new Lending Alliance transactions are executed in a timely and effective manner in line with approvals and internal policy terms. the post holder may also be required from time to time to assist the Structured Real Estate Finance team with similar duties.
Person specificationResponsibilities include:- Lead and project manage alongside the origination team complex Lending Alliance transactions through due diligence to completion. - Lead instructions for professional advisors from internal panels including external legal counsel for the preparation, negotiation, review and execution of transaction documentation and associated due diligence in accordance with agreed term sheets, policy standards and credit approval conditions, using sound commercial judgement and delegated authorities as appropriate Lead on Legal due diligence, to ensure robust contractual documentation is drafted for each Lending Alliance, via a Framework Agreement and associated Facility and Security documents
- Review due diligence reports produced by external advisors and ensure Homes England's position is protected by providing feedback to advisors and liaising with internal stakeholders where appropriate
- Support Transaction Managers with risk proposals - to include technical support and attendance at relevant committees where appropriate provide technical guidance on complex lending structures and legal documentation to support transaction teams through committee and approval processes.
- Manage handover of completed Lending Alliances to Portfolio Management and support continuous process improvement across the team.
Candidate profile - Strong experience in residential development lending, complex real estate debt, including forward flow, loan-on-loan, institutional investor debt arrangements, and or negotiating intercreditor agreements between lenders.
- Proven ability to manage transactions through execution, including legal documentation, due diligence, deal structuring and project delivery.
- Experience working collaboratively within small, high-performing teams, contributing across multiple workstreams and supporting collective delivery of business objectives.
- Proven ability to build and manage relationships with internal and external stakeholders, professional advisers, investors and lending partners throughout the transaction lifecycle.
- Good understanding of real estate development finance markets, lending structures, risk management principles and the wider housing market environment.
- Strong knowledge of investment structures and financing tools, with an appreciation of corporate governance, risk identification, mitigation and management.
- Strong commercial judgement, negotiation skills and the ability to work effectively alongside multiple lending parties to achieve successful outcomes.
- Excellent written and verbal communication skills, combined with a thorough and analytical approach, capable of identifying key issues, assessing risks and opportunities, and applying robust financial analysis and modelling techniques.
