We are looking to hire an Assistant Company Secretary to join our Company Secretariat function within our Legal, Governance and Risk (LGR) Team. The role holder will assist the Deputy Group Secretary in supporting the Dixons Carphone plc Board and Committee meeting processes, ensuring that the legal entities in the Group are compliant with companies legislation, the Listing Rules and corporate governance best practice and supporting shareholder projects including the Annual Report and Accounts and Annual General Meeting.
Reporting to the Deputy Group Secretary, the main duties and responsibilities include:
- Supporting the main UK operating Boards - agendas, meeting packs, attending and preparing the minutes;
- Managing the statutory compliance of Group subsidiaries in the UK, including meetings, minutes, Companies House filings and director support and upkeep of the corporate database for all companies including international subsidiaries;
- Supporting the preparation of the UK subsidiary company accounts;
- Responsible for RNS announcements and National Storage Mechanism uploads;
- Drafting and managing the dividend timetable and documentation;
- Maintaining governance documents including the Group Directors' induction pack, directors' conflicts register, directors' interests register, terms of reference and ensuring compliance with governance best practice.
Other shared responsibilities include:
- Drafting of the Company Secretarial sections of the Annual Report, NOM and ancillary/ shareholder documents and plc Board papers;
- Organising the Annual General Meeting;
- Assisting with insider and project lists maintenance, permission to deal requests and queries;
- Assisting the Reward team with share schemes administration including block listing of shares and liaison with the external Trustees.
You will have:
- Demonstrable experience working in the Company Secretariat team of a FTSE350
- High quality written and spoken English
- Excellent interpersonal and communication skills
- Strong organisational skills with good time management skills and ability to work to deadlines
- Excellent attention to detail
- IT Skills - good working knowledge of Word, Excel and Powerpoint
- Previous use of GEMS (corporate database software), Diligent (Board pack software) and InsiderTrack (Market Abuse Regime management software) desirable.
