Role: Company Secretary

Employment Type: 12 Month FTC, Part Time (3 Days a week)

Location: London / Remote Working

Here at Gousto we have an exciting opportunity for a Company Secretary to join us on a 12 month fixed term contract reporting into our General Counsel. To be successful in this role you will be a self starter that is ICSA qualified.

Core Responsibilities:
  • Preparing and advising on formal board minutes, board resolutions and shareholder resolutions
  • Supporting the CEO's office in the preparation of Board and Committee meetings
  • Company administration including maintaining statutory books, dealing with correspondence, lodging required forms and annual returns with Companies House
  • Administering Gousto's employee incentive schemes
  • Providing further administration support to the Finance function as required, for example in relation to the annual report and accounts, KYC queries and corporate information requests; and
  • Supporting and advising on Gousto's corporate governance framework by keeping up-to-date on legal, company law and regulatory environment developments.


Requirements

Who you are:
  • ICSA qualified
  • Previous experience of working in a similar role or in a larger organisation
  • In depth knowledge of company secretarial practices and processes
  • Experience drafting company secretarial documentation
  • The ability to liaise confidentially at all levels and to act with discretion
  • Excellent IT skills with a willingness to learn new systems (experience of OnBoard and Capdesk or similar software would be useful although not essential
  • The ability to prioritise and plan effectively, adopting a logical and methodical approach in order to meet deadlines;
  • Up to date knowledge of current policy legal and statutory requirements and best practice for UK companies;
  • Excellent written and verbal communication skills;
  • A willingness to be challenged and be flexible; and
  • Exceptional attention to detail.
